What if you set up a UG and give a colleague power of attorney for everything?

If you set up a UG and you give a colleague power of attorney for everything and he takes care of everything and the managing director takes care of nothing and at the end of the day the colleague does some illegal things with the company, e.g. tax evasion, etc., is the managing director liable for it or just he or both of them, etc. How does this work?

All shareholders must be detained. So you have to take care of yourself. Often, the court complains that the shareholders comply with their supervisory obligation. However, the shareholders can also try to take responsibility separately.
